Chapter 5 - The $38 Million Naomi Never Knew She GuaranteedThe forensic audit began with Armitage.

By sunrise, it had spread into Naomi’s family office.

The numbers grew.

$2.9 million in consulting payments.

Then $6.4 million in private loans.

Then a guarantee.

Grant called Naomi into the conference room.

His face told her before he spoke.

“What?”

“We found a cross-collateral agreement.”

“How much?”

“Up to thirty-eight million.”

Naomi stopped.

“For what?”

“Family-office real-estate debt.”

“My company guarantees it?”

“Yes.”

“No.”

Grant looked uncomfortable.

“Your signature is there.”

Naomi stared.

“When?”

“Two years ago.”

She checked the date.

A weekend in Vermont.

Jasper had brought paperwork.

She remembered signing beside a fireplace while complaining she did not want business documents on vacation.

He said:

“Just insurance renewals and estate housekeeping.”

Naomi looked at him now.

“You put this in that stack.”

Jasper rubbed his face.

“It was supposed to be temporary.”

Her voice became quiet.

“Did I know Sterling House Group was guaranteeing thirty-eight million dollars?”

“No.”

Grant looked away.

Even after everything, hearing the admission felt shocking.

Naomi asked:

“How much is outstanding?”

“Twenty-four point seven.”

“What did the money buy?”

“Three commercial properties, two land parcels, and one private debt refinancing.”

“Who owns them?”

Grant hesitated.

“Entities connected to Charles.”

Naomi laughed once.

Not because anything was funny.

Her uncle had used her company’s balance sheet to support his private assets.

Her husband had hidden the authorization inside documents.

Then somebody had built a file portraying Naomi as unstable.

If the guarantee surfaced publicly, it could look like Naomi recklessly pledged corporate assets.

If she denied understanding, she looked incompetent.

Either way, Charles could argue she needed to step aside.

Daniel said:

“That may be the triggering event from the stability plan.”

Naomi nodded slowly.

“They created the problem they planned to use against me.”

Jasper immediately said:

“Charles created it.”

Naomi turned.

“You helped.”

“I thought the loans would be refinanced.”

“You hid the guarantee.”

“Yes.”

“Why?”

“Because Charles said if the board saw it, they would panic.”

“Did you ask why the board shouldn’t know?”

Jasper looked down.

Naomi understood.

He had asked.

He simply accepted the answer he preferred.

Grant opened another document.

“Naomi, there’s a voting proxy.”

Her stomach tightened.

“What now?”

Two years and ten months earlier.

Shortly after Evelyn’s death.

The proxy gave Charles temporary voting authority over Naomi’s family shares if Naomi became “incapacitated, conflicted, or subject to material fiduciary investigation.”

Naomi stared.

“That language.”

Daniel nodded.

“Matches the stability plan.”

“Did I sign this too?”

“Yes.”

She looked at Jasper.

“When?”

He closed his eyes.

“The estate documents.”

Naomi remembered.

Her mother had been dead nine weeks.

Naomi barely slept.

Lawyers sent hundreds of pages.

Jasper sat beside her at the kitchen island.

He placed colored tabs.

“Just sign where I marked.”

She had cried halfway through because one form called Evelyn “the decedent.”

Jasper held her hand.

Then continued passing papers.

Naomi felt something inside her break.

“You used my mother’s death.”

“No.”

Jasper’s voice cracked.

“I was helping you.”

“You placed this in front of me.”

“Charles said it was standard.”

“Did you read it?”

“Yes.”

Naomi stared.

“Then you knew.”

He looked away.

Her eyes filled.

“You knew I was giving him the ability to take my vote.”

“I thought it was only emergency authority.”

“Did you tell me?”

“No.”

“Why?”

“Because you couldn’t handle more.”

Silence.

Naomi almost slapped him.

Instead she stepped backward.

That sentence was worse.

Not greed.

Not panic.

He had decided what she could handle.

He had used her grief to make the decision for her.

Elise spoke quietly.

“Naomi.”

She turned.

Elise had another file.

“What?”

“Your mother’s estate archive.”

Naomi’s chest tightened.

“What about it?”

“I searched for continuity proxy.”

“And?”

“There’s a letter from Evelyn’s attorney.”

Naomi moved closer.

Dated six months before Evelyn died.

To Charles.

The message was short.

Evelyn does not approve the proposed emergency voting proxy. She believes the language grants Charles excessive discretionary power and wants it removed from all future estate drafts.

Naomi read it twice.

Her mother had rejected the exact document Jasper later slipped into her signature packet.

Jasper looked stunned.

“Charles told me Evelyn wanted it.”

Naomi stared at him.

“You never verified.”

“No.”

“You believed him.”

“Yes.”

“Because?”

Jasper swallowed.

“Because I wanted him to believe I could be useful.”

There.

A different truth.

Naomi’s eyes narrowed.

“Useful how?”

Jasper said nothing.

She stepped closer.

“Useful how?”

He finally answered.

“A board role.”

Grant looked away.

Daniel’s face hardened.

Naomi felt the betrayal settle into a clearer shape.

Charles did not only manipulate Jasper with fear.

He offered him importance.

Jasper had spent years being introduced as Naomi’s husband.

Naomi knew he hated it.

He had built a small consulting business but never achieved the status he imagined for himself.

Charles saw the wound.

And fed it.

“What did he promise you?”

Jasper whispered:

“Vice chairman.”

Naomi closed her eyes.

“How long?”

“After the transition.”

“What transition?”

He did not answer.

Naomi already knew.

Hers.

Then Elise’s phone buzzed.

She looked down.

Her face changed.

“What?”

“Someone emailed me.”

“Who?”

“Anonymous.”

The subject:

YOU FOUND THE GUARANTEE. NOW FIND THE ORIGINAL BOARD MINUTES.

Attached was a photograph of a storage box.

Label:

EVELYN STERLING — PRIVATE.

And beneath it, one sentence.

CHARLES HAS BEEN LYING ABOUT WHAT YOUR MOTHER WANTED.

Naomi stared.

The evidence her mother had left behind might still exist.
